Welcome to our billing portal, on which we provide online bill delivery, payment and management services (“Billing Portal”). This Terms of Use Agreement (“Agreement”) sets forth the agreement between iHeartMedia Management Services, Inc. (“iHeartMedia”, “we”, “us, “our”) and each user ("you" or "your") governing the use by you of this Billing Portal. Please read this Agreement carefully before using this Billing Portal. This Billing Portal is owned or managed by iHeartMedia Management Services, Inc. and is part of the iHeartMedia family of companies, which includes other quality entertainment brands such as broadcast and Internet radio stations, Clear Channel Outdoor, iHeartMedia, and the Premiere Networks.
You iHeartMedia are entering into this Terms of Use Agreement (the “Agreement”) for us to provide you with access to our Billing Portal. Please read this Agreement carefully before using the Billing Portal. Your use of the Billing Portal constitutes your acceptance to be bound by this Agreement without limitation, qualification or change. If at any time you do not accept all the terms and conditions of this Agreement, you must immediately discontinue use of the Billing Portal.
By using the Billing Portal, you are representing and warranting that:
YOU MAY NOT USE ANY IHEARTMEDIA SITE FOR ANY PURPOSE THAT IS UNLAWFUL OR PROHIBITED BY THIS AGREEMENT. YOUR ACCESS TO THE BILLING PORTAL MAY BE TERMINATED IMMEDIATELY IN IHEARTMEDIA’S SOLE DISCRETION, WITH OR WITHOUT NOTICE, IF YOU FAIL TO COMPLY WITH ANY PROVISIONS OF THIS AGREEMENT, OR FOR ANY OTHER REASON, OR NO REASON
You must provide all Equipment, software, and network connectivity necessary to connect to and use the Billing Portal.
You agree to follow and comply with any applicable laws in your use of the Billing Portal. You agree that you will not provide access to the Billing Portal to any party other than yourself and other joint owners of your account, and you will take reasonable precautions to safeguard your account number and/or password and keep them confidential. The availability of the Billing Portal may be subject to interruption and delay due to causes beyond our reasonable control.
During the term of this Agreement, we grant you a non-exclusive, non-transferable, limited license to use the Billing Portal at such time as they are generally available as permitted by these terms. You are granted no license to use or access our software or property other than for the purposes of using the Billing Portal.
If you choose to use the Billing Portal for payments, you will make payments electronically either via credit card or via Automated Clearing House (ACH) based on your request and as made available by us
Business DayA business day is defined as Monday through Friday excluding Federal Reserve holidays. All billing transactions initiated after the payment cutoff time will be considered as initiated on the next business day. Payment cutoff times are defined on the Billing Portal.
Authority to Debit AccountYou authorize iHeartMedia to debit any of your deposit accounts in order to fund payments that you initiate using the Billing Portal. Such charge may take the form of a credit card payment or an ACH debit entry. You will designate a settlement account for us to charge (the "payment account") and you agree to maintain a balance or credit limit in that account that is sufficient to fund all payments you initiate. You represent and warrant that you have the right to authorize iHeartMedia to charge the payment account for payments you initiate using the Billing Portal. You also agree that iHeartMedia is not responsible for any overdraft or insufficient fund situation or charge (including, but not limited to, finance charges, late fees or similar charges) caused by your failure to maintain funds sufficient to pay all payments you initiate. You further agree that iHeartMedia may charge a service fee for any returned payment, including, but not limited to, returns resulting from insufficient funds in your account, your account is closed, or incorrect account or routing information was provided to iHeartMedia. Currently, the fee is $25.00 per returned payment. You may stop payment of any single scheduled payment by cancelling the transaction via the Billing Portal or email invoices@iheartmedia.com or by notifying the bank or other financial institution where your payment account is located in writing at least three business days before the scheduled date of the payment. iHeartMedia will continue to charge your payment account for that payment and for other automatic payments until the date you cancel the automatic payments through the Billing Portal. In addition, if iHeartMedia’s ACH charge to your payment account is rejected or returned because you have instructed your bank or financial institution to stop the automatic payment, iHeartMedia may charge you a fee for this returned transaction.
iHeartMedia will send you an email notification when a new E-Bill is available to be viewed. It is your sole responsibility to schedule a payment via the Billing Portal.
Procedures If Your Account Number and/or Password Has Been Lost, Stolen, or Compromised or There Has Been Unauthorized Use of Your Account.If you believe that your Account Number and/or Password has been lost or stolen, or that someone is using your Account Number and/or Password without your permission, notify iHeartMedia immediately in order to keep your possible losses down. You are responsible for all payments authorized by use of your Account Number and/or Password.

iHeartMedia must hear from you no later than sixty (60) days after you received the FIRST statement reflecting a problem or error involving an electronic funds transfer. Exceptions are made at iHeartMedia’s sole discretion.

If iHeartMedia decides that there was no error, iHeartMedia will mail or transmit to you a written explanation within three (3) business days after we have completed our investigation. Within ten (10) business days of the date of such explanation, iHeartMedia will debit your account for the amount previously re-credited to you. Electronic DeliveryYou agree to receive this Agreement and any and all disclosures and/or written notices required by the applicable law and regulation and all other communications electronically by e-mail or within the Billing Portal. Special technical specifications, including minimum browser requirements that are necessary to use the Billing Portal and to receive communications electronically are disclosed in the FAQ section of the Billing Portal. You also agree that iHeartMedia may respond to you with an e-mail to any communication you send to us iHeartMedia regardless of whether your original communication to us was an e-mail.
iHeartMedia’s Right to Refuse to Make PaymentsWe may refuse to make any payment that iHeartMedia believes to be prohibited by law. If you fail to maintain a balance in the payment account that is sufficient to fund any payment that you initiate, iHeartMedia may refuse to make any subsequent payment for as long as iHeartMedia determines to be necessary or appropriate. iHeartMedia also reserves the right and will promptly notify you of its decision to refuse to make any other payment.
Changes to Your InformationChanges to your credit card number, credit card expiration date, checking account number and/or bank routing number must be made via the Billing Portal.
PaymentsYou must select the processing date for any payment, or specify a payment rule in the system that automatically selects this date for you, for each bill received. This date should be at least three business days prior to the payment due date to ensure appropriate time for iHeartMedia to receive and post the payment to your account. iHeartMedia is not responsible for any costs, expenses or other damages you incur if your payment is not received by iHeartMedia on or before the payment due date.
iHeartMedia is not responsible for any failure to complete or delay in completing payment due to any of the following:
iHeartMedia may set a maximum dollar amount for payment and/or refuse to permit any bill payment if iHeartMedia reasonably believes such refusal is necessary or advisable for security reasons.
iHeartMedia reserves the right, in its sole discretion, to modify, alter, or otherwise change the Billing Portal and/or this Agreement at any time. iHeartMedia will provide notice of such change via the Billing Portal. Please review this Agreement periodically for changes. Your continued use of the Billing Portal constitutes your acceptance and agreement to be bound by these changes without limitation, qualification or change. If at any time you do not accept these changes, you must immediately discontinue use of the Billing Portal.

By using the Billing Portal, you certify that you are the sole owner of your billing account information, or that you are authorized on behalf of all owners of the billing account information to authorize iHeartMedia to use the information to provide the Billing Portal to you, and that you have reviewed and agree to the privacy practices as reflected in our Privacy Statement.
To use the Billing Portal you must open an account and complete the specified registration process by providing iHeartMedia with current, complete, and accurate information as requested by the applicable online registration form. It is your responsibility to maintain the currency, completeness, and accuracy of your registration data and any loss caused by your failure to do so is your responsibility. After you have fully completed the registration form, you will be asked to choose a password and a user name. It is entirely your responsibility to maintain the confidentiality of your password and account. Additionally, you are entirely responsible for any and all activities that occur under your account. You may establish your account to use the Billing Portal with another party. An account having more than one owner is called a joint account. Each joint owner is bound by all the terms and conditions of this Agreement, and all references to "you" and "your" in the Agreement shall include all joint owners. Each joint owner agrees to be jointly and individually responsible for all charges and other obligations of any and all joint owners under this Agreement. Unless iHeartMedia is otherwise notified, in writing, by all owners of an account, each joint owner has full and independent authority to use the Billing Portal and the data provided through the Billing Portal as if they were the sole owner, and without the consent of or notice to any other joint owner. Such powers include, without limitation, the authority to: (a) view all billing data and pay bills or other obligations of any joint owner; (b) order the payment or transfer of funds from the payment account, whether or not such joint owner is an owner of the payment account; (c) receive notices, confirmations, statements, demands and other communications concerning the Billing Portal for and on behalf of all owners; (d) terminate, modify or waive any provision of this Agreement to the extent permitted herein; (e) close the account at any time. Unless iHeartMedia is notified in writing by all owners of an account, iHeartMedia may: (a) honor the orders and follow the instruction of any one joint owner, without liability to any other joint owner(s), and without any obligation to give notice to other joint owners, or to inquire whether such other owners consent; (b) honor any payment order from a joint account owner even though it may create an overdraft in any account (and all joint owners are jointly and severally liable for repayment of overdrafts created by any joint owner); (c) honor stop payment requests (including orders that no further payments be permitted from the account) from any joint owner, whether the original payment order was authorized by that owner or another joint owner; and (d) treat any notice required or permitted to be given concerning the account as being given to all joint owners when such notice is given to any one joint owner.
YOUR USE OF, AND RELIANCE ON, ANY ADVICE OR INFORMATION OBTAINED FROM OR THE PAYMENT SERVICE IS AT YOUR OWN RISK. ALL CONTENT, INCLUDING SOFTWARE, PRODUCTS, SERVICES, INFORMATION, TEXT AND RELATED GRAPHICS CONTAINED WITHIN OR AVAILABLE THROUGH THE PAYMENT SERVICE ARE PROVIDED TO YOU ON AN “AS IS,” “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, IHEARTMEDIA DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY OR SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, INFORMATIONAL CONTENT, TITLE, OR NON-INFRINGEMENT OF THE RIGHTS OF THIRD PARTIES. IHEARTMEDIA DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS THAT THE BILLPAY PORTALWILL OPERATE ERROR-FREE OR UNINTERRUPTED OR THAT DEFECTS WILL BE CORRECTED.
SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER, EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES, LIABILITIES AND DAMAGES, SO SOME OF THE DISCLAIMERS, EXCLUSIONS AND LIMITATIONS HEREIN MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, IHEARTMEDIA’S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
In no event shall iHeartMedia, its subsidiaries, affiliates, distributors, suppliers, licensors, agents or others involved in creating, sponsoring, promoting, or otherwise making available the Billing Portal and its contents, be liable to any person or entity whatsoever for any direct, indirect, incidental, special, compensatory, consequential, or punitive damages or any damages whatsoever, including but not limited to: (i) loss of goodwill, profits, business interruption, data or other intangible losses; (ii) your inability to use, unauthorized use of, performance or non-performance of the Billing Portal; (iii) unauthorized access to or tampering with your personal information or transmissions; (iv) the provision or failure to provide any service; (v) errors or inaccuracies contained on the Billing Portal or any information, software, products, services, and related graphics obtained through the Billing Portal; (vi) any transactions entered into through the Billing Portal; (vii) any property damage including damage to your Equipment caused by viruses or other harmful components, during or on account of access to or use of the Billing Portal or any site to which it provides hyperlinks; or (viii) damages otherwise arising out of the use of the Billing Portal. The limitations of liability shall apply regardless of the form of action, whether based on contract, tort, negligence, strict liability or otherwise, even if iHeartMedia has been advised of the possibility of damages.
You agree to indemnify, defend and hold harmless iHeartMedia, its subsidiaries, agents, distributors and affiliates, and their officers, directors and employees from and against any and all claims, actions, demands, liabilities, costs and expenses, including, without limitation, reasonable attorneys’ fees, resulting from your breach of any provision of this Agreement or any warranty you provide herein, or otherwise arising in any way out of your use of the Billing Portal. You agree to cooperate fully with iHeartMedia in asserting any available defenses in connection with a claim subject to indemnification by you under this Agreement.
iHeartMedia reserves the right, in its sole discretion, to modify, suspend, or terminate the Billing Portal and/or any portion thereof, and/or your account, password, at any time for any reason with or without notice to you.
Termination of your account for the Billing Portal removes your authorization to use the Billing Portal. In the event of termination, you will still be bound by your obligations under this Agreement, including the warranties made by you, and by the disclaimers and limitations of liability. Additionally, iHeartMedia shall not be liable to you or any third party for any termination of your access to the Billing Portal.
Any software that is made available to access, use, view and/or download in connection with the Billing Portal (“Software”), is owned or controlled by iHeartMedia and/or licensors, affiliates and suppliers and is protected by copyright laws and international treaty provisions. Your use of the Software is governed by this Agreement.
Accessing materials the Billing Portal by certain persons in certain countries may not be lawful, and iHeartMedia makes no representation that materials on the Billing Portal are appropriate or available for use in locations outside the United States. If you choose to access the Billing Portal from outside the United States, you do so at your own risk and initiative, and are responsible for compliance with any applicable local laws.
This Agreement shall be governed by, construed and enforced in accordance with the laws of the State of New York, as it is applied to agreements entered into and to be performed entirely within such state, without regard to conflict of law principles. You agree that any and all disputes, claims and causes of action arising out of, or connected with, this Agreement, or in connection with any matters related to the Billing Portal and/or the Privacy Statement, shall be resolved individually, without resort to any form of class action, exclusively in either the state or Federal courts located in New York County, New York. You agree to submit to the personal jurisdiction of the courts of the State of New York for any cause of action arising out of this Agreement. You agree to file any cause of action with respect to this Agreement within one year after the cause of action arises. You agree that a cause of action filed after this date is barred.
If any provision of this Agreement, or the application thereof to any person or circumstances, is held invalid or for any reason, unenforceable including, but not limited to, the warranty disclaimers and liability limitations, then such provision shall be deemed superseded by a valid, enforceable provision that matches, as closely as possible, the original provision, and the other provisions of this Agreement shall remain in full force and effect. The failure of either party to insist upon strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Unless expressly provided otherwise, this Agreement is the entire agreement between you and iHeartMedia with respect to the use of the Billing Portal and shall not be modified except in writing, signed by an authorized representative of iHeartMedia.>

The Billing Portal, and all of its contents, including but not limited to articles, other text, photographs, images, illustrations, graphics, video material, audio material, including musical compositions and sound recordings, software, iHeartMedia logos, titles, characters, names, graphics and button icons (collectively “Intellectual Property”), are protected by copyright, trademark and other laws of the United States, as well as international conventions and the laws of other countries. The Intellectual Property is owned or controlled by iHeartMedia or by other parties that have provided rights thereto to iHeartMedia.

Additionally, unless otherwise expressly permitted, websites may not link, whether by hyperlink or otherwise, to any page beyond the homepage of the Billing Portal, or frame the Billing Portal, or any web page or material herein, nor may any entity include a link to any aspect of the Billing Portal in an email for commercial purposes, without the express written permission of iHeartMedia. Further, unless otherwise expressly permitted, you agree not to link to iHeartMedia’s Intellectual Property so as to cause you or anyone else to access iHeartMedia’s Intellectual Property other than through the Billing Portal.
